Terms of Service

1. Acceptance of Terms

By creating an account or using the RePlay Cycle website or mobile application (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. We may modify these Terms at any time; continued use after changes constitutes acceptance.

2. Description of Service

RePlay Cycle is a circular economy platform for sports jerseys and athletic apparel. The Service includes peer-to-peer swaps, donations to community organizations, a marketplace for recovered/upcycled/vintage apparel, a social feed, and environmental impact certificates.

The Service is currently in beta. Features may change. Certain paid features may be available for free during the beta period.

3. Eligibility and Accounts

• You must be at least 13 years old. Users under 18 require parental consent.
• You agree to provide accurate, current information at registration.
• You are responsible for all activity under your account.
• One account per person. Accounts may not be transferred.
• We may suspend or terminate accounts that violate these Terms.

4. Guest Access

Users may access the Service as a guest without creating an account. Guest access is limited to browsing jersey listings, the marketplace, and community posts. To swap, donate, list items, or send messages, a registered account is required. By accessing as a guest, you agree to these Terms and our Privacy Policy.

5. User Conduct

You agree not to:

• Post false, misleading, or fraudulent listings.
• Use the Service for any unlawful purpose.
• Harass, threaten, or abuse other users.
• Upload counterfeit items or infringe intellectual property rights.
• Attempt to reverse-engineer, scrape, or attack the Service.
• Create automated accounts (bots) without written permission.
• Use the Service to transmit spam or unsolicited communications.

Violations may result in immediate account termination without refund.

6. Swaps, Transactions, and Platform Liability

RePlay Cycle is a platform — not a buyer, seller, or party to any transaction.

• All swaps, donations, and marketplace sales are agreements exclusively between users. RePlay Cycle has no control over and assumes no responsibility for the quality, safety, legality, authenticity, or condition of any item listed or exchanged.
• RePlay Cycle does not verify the identity of users, the accuracy of listings, or the completion of any transaction.
• RePlay Cycle makes no warranty that a swap or sale will be completed, that items will be delivered, or that items will match their description.
• Users are solely responsible for resolving disputes with other users. RePlay Cycle may, at its sole discretion, assist in dispute resolution but is under no obligation to do so.
• Items must be accurately described. Misrepresentation is a violation of these Terms and may result in account termination.
• Shipping arrangements, costs, and risks of loss or damage in transit are the sole responsibility of the users involved.
• Marketplace transactions are subject to the commission rate displayed at listing time.
• During beta, swap limits are suspended. We may reinstate tier limits with 7 days notice.

7. Payments and Subscriptions

• Payments are processed by Stripe. By subscribing, you authorize recurring charges.
• Subscriptions renew automatically unless cancelled.
• Cancel anytime from account settings. Cancellations take effect at the end of the billing period; no partial refunds.
• All prices are in USD unless otherwise stated.
• Price changes will be communicated with 30 days notice to existing subscribers.

8. User Content

You retain ownership of content you submit. By submitting, you grant RePlay Cycle a non-exclusive, worldwide, royalty-free license to display and distribute that content solely to operate and promote the Service.

You represent that your content does not infringe third-party rights and complies with applicable law. We may remove content that violates these Terms without notice.

9. Indemnification

You agree to defend, indemnify, and hold harmless RePlay Cycle and its founders, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service.
• Any transaction you conduct with another user.
• Content you post or items you list.
• Your violation of these Terms or any applicable law.
• Any dispute between you and another user.

10. Intellectual Property

The RePlay Cycle name, logo, platform design, and original content are the intellectual property of RePlay Cycle. The "RePlay Cycle" mark is claimed as a trademark in the United States. Sports team names and jersey designs belong to their respective owners; RePlay Cycle makes no claim over third-party IP in user listings.

11. International Use

The Service is operated from Redmond, Washington, USA, and is available worldwide. You are responsible for compliance with local laws in your jurisdiction. We make no representation that the Service is appropriate or available in all locations.

European Users: To the extent EU consumer protection law applies, nothing in these Terms limits your statutory rights under applicable EU or member state law.

Brazilian Users: These Terms comply with Brazilian consumer law (CDC — Lei 8.078/1990) to the extent applicable to digital platforms.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. RePlay Cycle does not warrant uninterrupted or error-free operation. Environmental impact figures are estimates based on published lifecycle assessment studies and are for informational purposes only.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPLAY CYCLE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE PRIOR 12 MONTHS, OR (B) USD $50.

Nothing in these Terms limits liability that cannot be excluded under mandatory applicable law in your jurisdiction.

14. Termination

You may delete your account by contacting admin@replaycycle.org. We may suspend or terminate your account for violations of these Terms. Upon termination, your right to use the Service ceases immediately.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, United States. Disputes shall be resolved in the courts of King County, Washington.

If mandatory consumer protection laws in your country of residence provide greater protections, those protections are not waived by these Terms.
